Corporate Counsel (Securities Law)

Responsibilities:

  • Securities Law Compliance(60%):

  • Assisting in the preparation and filing of periodic reports (e.g., Forms 10-K, 10-Q, and 8-K) with the Securities and Exchange Commission (SEC)

  • Monitoring and ensuring compliance with securities laws, regulations, and stock exchange rules

  • Advising on matters related to insider trading, disclosure requirements, and corporate governance best practices

  • Corporate Governance(30%):

  • Supporting the board of directors and board committees on corporate governance matters

  • Drafting and reviewing corporate governance documents, including board resolutions, committee charters, and policies

  • Assisting in the planning and execution of annual meetings of shareholders and board meetings

  • Others(10%):

  • Mergers & Acquisitions (M&A):

  • Assisting in due diligence efforts for potential mergers, acquisitions, and strategic transactions

  • Drafting and negotiating transaction documents, including merger agreements, asset purchase agreements, and related agreements

  • Collaborating with external counsel and internal stakeholders throughout the M&A process

  • Commercial Contracts:

  • Reviewing, drafting, and negotiating a variety of commercial agreements, including vendor contracts, customer agreements, and licensing agreements

  • Advising business units on contractual matters and risk mitigation strategies

  • Compliance and Regulatory Matters:

  • Monitoring changes in laws and regulations affecting the company's operations and ensuring compliance with applicable legal requirements

  • Developing and implementing compliance policies and procedures

  • Conducting internal investigations and responding to regulatory inquiries, as needed

  • Litigation Management:

  • Collaborating with external counsel in managing litigation matters, including disputes, regulatory investigations, and enforcement actions

  • Assisting in the development of litigation strategies and risk management initiatives

  • Manage legal administrative tasks as assigned

Qualification:

  • Minimum of 3 years of experience practicing securities law required

  • Fluency in English and Mandarin Chinese required

  • Admission to the NC/NY/CA bar association preferred
    Juris Doctor (J.D.) degree from an accredited law school

  • Excellent legal drafting and writing skills

  • Ability to negotiate effectively and resolve complex legal issues

  • Strong attention to detail and organizational skills
